TFWebWorks agrees to develop the Project pursuant to the request submitted by client and any other request made
by client through the online Clients Account ticketing system. Client understands that the initial project request given is what they will be quoted on and any additional requests given after that day will be considered separately and will incur additional charges. Client acknowledges that it is their responsibility to provide content for web pages such as Web page introductions, about us descriptions, biographies, graphics, photos,videos, etc. and that TFWebWorks is not responsible for acquiring this information on the clients behalf. TFWebWorks require that clients provide files and changes requests in the following formats and/or specifications:
1. Word documents or Notepad files with content for corresponding pages. Ex. About Us Page – Client uploads word document
titled About Us Page with content for that page typed out.
2. Pre-edited graphics. Client should edit all photos or graphics prior to uploading as any graphic or photo edits will incur additional
charge if requested.
3. Music files in MP3 Format. All music files should be uploaded as MP3 with Song Title & Artist Name. Files not uploaded as
MP3 will incur additional charge to convert.
4. YouTube Video Link or Code. If client wishes video on web pages, must have video uploaded to YouTube and provide TFWebWorks
with video link or embed code. Any video request that is not in this format will incur video conversion charges.
5. Products for sale will need to be provided with product image, product description and product price. If client is requesting
E-Commerce set up, client will need PayPal Premier or Business Account to link to shopping cart design.
6. Files for download in proper format. Ex. If client wants pdf available for visitor downloads, client shall provide files in this
format as document conversions will incur additional charge.
Payments:
Payments can be made to TFWebWorks by either one of the following methods:
1. Cash payment
2. Credit/Debit Card by invoice, phone or online
3. Checks made to TFWebWorks and mailed to:

1. In Full amount to start projects under $300 (design fee)
2. In Half amount to start projects $300 (design fee) and above with final payment upon completion
3. All TFWebWorks Plans MUST be purchased by credit card, debit card or PayPal.
4. Client agrees to pay TFWebWork’s fees and all expenses, as set forth above, within 15 days of invoice. All unpaid balances will
accrue a $5.00 a day late payment charge unless cancelled in writing or electronic mail to:

5. After paying design fee, you have 5 days from the time of purchase to request a refund. If request is made within 5 days 50% of Design Fee will be refunded. Client acknowledges that all sales are final and No Refunds can be made for any of our monthly plans.
No Right to Assign:
Client has no right to assign, sell, modify or otherwise alter the Project(s), except upon the express written advance approval of TFWebWorks, which consent can be withheld for any reason.
Right to Remove Project(s):
In the event Client fails to make any of the payments agreed upon within the time prescribed by TFWebWorks, TFWebWorks has the right to remove the Project(s) until payment in full is paid, plus accrued late charges of $25.00 per day
Delivery of Project(s):
TFWebWorks will use reasonable diligence in the development of the Project(s) and endeavor to deliver to Company all operational Project(s) and files in a timely manner. Company acknowledges, however, that any delivery deadline or milestone given are estimates, and are not required delivery dates. TFWebWorks shall deliver, at all times, any and all material required to complete the Project.
Ownership Rights:
Client shall retain all of its intellectual property rights in any text, images or other components it owns and transmits to TFWebWorks for use in the Project(s). Client shall hold the copyright for the agreed upon version of the Project(s) as delivered, and Client’s copyright notice may be permanently displayed in the final version.
TFWebWorks shall hold all right, title, and interest in and to the source code, programming and original artwork created for the project and TFWebWorks credits may be permanently displayed in the final version. Specifically, but without limitation, TFWebWorks shall hold rights, title, and interest in and to:
1. all text, graphics, animation, audio components, and digital components of the Project(s) (the “Content”) created by TFWeb-
Works,
2. all interfaces, navigational devices, menus, menu structures or arrangements, icons, help and other operational instructions,
and all other components of any source or object computer code that comprises the Project(s) created by TFWebWorks,
3. all literal and non-literal expressions of ideas that operate, cause, create, direct, manipulate, access, or otherwise affect the
content created by TFWebWorks,
4. all copyrights, patents, trade secrets, logos and other intellectual or industrial property rights in the Project(s) or any component
or characteristic thereof created by TFWebWorks. Client shall not do anything that may infringe upon or in any way
undermine TFWebWorks’ right, title, and interest in the Project(s), as described in this paragraph.
Identification of TFWebWorks:
Customer agrees that TFWebWorks identification may be annotated within the code or on the Project(s) as the authors. Customer also
agrees & acknowledges that TFWebWork’s copyright & design notices will be on the Project(s) footer (bottom of Project(s)) area and
the relevant content therein. Customer acknowledges that a removal fee of $50 is required for TFWebWork’s Design logo to be removed
from project.
Compensation:
For all of TFWebWork’s services under this Agreement, Client shall compensate TFWebWorks according to the current available
methods mentioned in the Payments section of this agreement or agreed upon through Clients Account Area.
In the event Client fails to make any of the payments agreed upon for the Projects creation, TFWebWorks have the right, but are not
obligated, to pursue any or all of the following remedies: (1) terminate the Agreement, (2) remove content from servers owned by TFWebWorks,
(3) bring legal action.
Indemnification:
Client warrants that everything it gives TFWebWorks to put on the Project(s) is legally owned or licensed to Client. Client agrees to
indemnify and hold TFWebWorks harmless from any and all claims brought by any third-party relating to any aspect of the Project(s),
including, but without limitation, any and all demands, liabilities, losses, costs and claims including attorney’s fees arising out of injury
caused by Client’s products/services, material supplied by Client, copyright infringement, and defective products sold via the
Project(s). Further, Client agrees to indemnify TFWebWorks from responsibility for problems/disruptions caused by third-party services
that Client may use such as merchant accounts, shopping carts, shipping, hosting services, real time credit card processing and other
services that relate to the ownership and operation of the Project(s) or multimedia project.
Use of Project(s) for Promotional Purposes:
Client grants TFWebWorks the right to use the Project(s) for promotional purposes and/or to cross-link it with other Project(s) developed
by TFWebWorks.
No Responsibility for Theft:
TFWebWorks have no responsibility for any third-party taking all or any part of the Project(s) by hacking or any other method of corruption.
No Responsibility for Loss:
TFWebWorks are not responsible for any down time, lost files, improper links or any other loss that may occur in the operation of the
Project(s).
Transfer of Rights:
In the event TFWebWorks are unable to continue maintenance of the Project(s) non-exclusive rights to the Project(s) will be granted
to Client.
Compatibility
TFWebWorks will endeavor to ensure that any developed/designed site or application will function correctly on the server it is initially
installed in and that it will function correctly when viewed with the latest and most up to date web browsing software to an acceptable level. TFWebWorks can offer no guarantees of correct function with all browser software or operating systems.
Site Maintenance:
Client acknowledges that TFWebWorks provides two options as far as maintenance and those options are in the form of:
1.) Site Tune Up- this is a one time payment, paid at your convenience and only when you want to request updates or changes to your site. As of January 1st 2012 the current Tune Up fee is $40.00 per hour.
2.) Site Insurance Plan - this is a monthly recurring fee and provides requests depending on the optional plan selected. Available plans as of January 1st, 2012 are:
One Request per Month = $30/mth
Two Requests per Month = $60/mth
Four Requests per Month = $90/mth
Site Insurance Plan Requests are on a per month basis. Unused requests do NOT carry over into the next month and client understands it is their responsibility to monitor, plan and place change requests for their site. An example would be, not placing a change request in July does not grant you with an additional change request in August. Your change requests are determined by either on an hourly basis or monthly basis only if subscribed to a Site Insurance Plan.
Requests cover Minor Website Changes Only and include but are not limited to: Text & content changes, image & graphics already edited and provided by client, photos already edited and provided by client, document files in .pdf,.doc,.docx,.zip & .txt and music files in .mp3 format, file uploading, video inclusion if provided in url or embed code format.
Requests do NOT cover: New Pages, New Graphics, Graphics Manipulation, Graphics Editing, Logos, Layout Manipulation, Design Manipulation, Background images, Photo Editing, Photo Manipulation or anything TFWebWorks informs the client is not covered as a minor maintenance request.
Client acknowledges that a request counts as anytime you contact TFWebWorks for updates, fixes or changes to the website and that maintenance is provided up to an hour per request. Anything maintenance perfomed on the website that exceeds an hour will incur additional fees and will be invoiced to the clients account. Client acknowledges that TFWebWorks has many clients and that the Maintenance services are a courtesy to the client and can be ended or no longer provided at TFWebWorks discretion. Client acknowledges that maintenance requests are provided in the order they are received and there may be up a 24 to 48 hour waiting period before the request can be processed due to other clients requests before them. Client understands that by using the Site Insurance Plan and paying month to month, an unused request does NOT carry over to the next month and that it is their responsibility to use the request if needed. Client also acknowledges that they should put in all the requests they need in one request, as long as it does not exceed one hour of maintenance and that sending multiple tickets or emails could incur additional fees and be counted as an additional requests. Client also acknowledges that any request made that requires TFWebWorks to research, spend time learning or becoming educated in software or third party scripts will incur additional fees and will be invoiced to clients account.
Domain Name:
All clients who wish to purchase Web Design services from TFWebWorks acknowledges that TFWebWorks provides and manages the domain name registration of your choice as long as it is available and hosting to keep your site live and available online. Client acknowledges that the url provided by TFWebWorks shall remain the property of TFWebWorks and is provided to the customer as long as account is paid. Email, FTP, and other related services are not provided to the customer through their URL. For Domain Name Registration and Web Hosting services client agrees to pay with credit card, debit card or PayPal.
Client acknowledges the current fees as of Jan 1, 2012 are :
Domain Name Registration: $15 per 1 yr | $30 per 2 yrs | $45 per 3yrs
Website Hosting: $10 per month or $85 per year (includes Free domain name).
If client wishes to purchase a domain and hosting on their own, client acknowledges that TFWebWorks recommends that their designs be hosted with one of the following hosting companies:
JustHost.com
AptHost.com
HostGator.com
Choosing one of the companies listed, client will need to provide TFWebWorks with account login information that the hosting company provides at registration. This is usually a hosting account username and password along with site username and password.
If client selects hosting other than the ones listed above, TFWebWorks has the option to decline the project or charge additional fees to research and educate staff and designers on the hosting client chooses.
Domain Name Ownership Transfer:
In the event client wishes to cancel account with TFWebWorks client acknowledges that their Domain Name & Website Hosting will be given a De-activated Status. Client will need to send a Ticket requesting cancellation through the client area or via email to cancellations at tfwebworks.com. If client wants to obtain ownership of the Domain Name that was provided during the life of the account they had with TFWebWorks, client should email domains@tfwebworks.com in order to request a quote for the Domain Name.
TFWebWorks will transfer ownership to client once agreed upon fee is paid.
Disclosure to law enforcement
TFWebWorks may disclose any subscriber information to law enforcement agencies without further consent or notification to the subscriber upon lawful request from such agencies. We will cooperate fully with law enforcement agencies.
Changes to the Terms
TFWebWorks reserves the right to revise its policies at any time with or without notice.
